Welcome to Ultimate Jet Vacations (UJV). By using our services, you agree to these Terms of Service ("Terms"). Please read them carefully. These Terms govern your use of UJV's website, mobile and web-based applications, online booking engine, API platform, and other tools directly provided by UJV ("Services"). By accessing or using any UJV Service — including completing a booking through the TA Portal, the Online Booking Engine, or the API — you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Nature of Our Services

UJV acts as an independent intermediary and agent for the contracting of travel services ("Travel-Products"). We book travel services with independent, third-party travel, hospitality, and service providers ("Travel Providers").

• Vendor Terms: Any booking you make is subject to the respective Travel Provider's terms and conditions, which may limit their liability and supersede our own where they conflict. Your remedy for a Travel Provider's failure to provide services lies solely with that Travel Provider, not UJV.
• Booking Confirmation: UJV only confirms a booking once the full price is paid and received. Prices and availability are subject to change before confirmation.
• No Unauthorized Representations: You may not make verbal or written assurances to End Customers that are additional to, or inconsistent with, UJV's Terms or any Travel Provider's terms and conditions. This includes promising that special requests will be honored or that cancellation terms will differ from those disclosed at the time of booking. UJV is not responsible for any representations made by you to End Customers without UJV's prior written authorization.

2. Account, Payment, Billing, and Data Security

• Users are responsible for maintaining the confidentiality of their account credentials and must immediately report any suspected security breaches to UJV.
• Card on File: UJV, or its third-party payment processor, is authorized to store your Primary Account Number (PAN) or a secure, non-sensitive token ("Card-on-File"). This establishes UJV as your authorized agent to initiate charges for the initial services and any subsequently agreed-upon fees without requiring re-entry of full card details.
• PCI DSS: UJV is committed to the Payment Card Industry Data Security Standard (PCI DSS). A compliant third-party processor is used to securely replace card data with a non-sensitive token. In the event of an invalid payment (including chargebacks or fraud), you are obligated to reimburse UJV for the outstanding amount and any associated collection costs, including attorney fees.

3. Your Obligations

3.1 Travel Documentation and Verification

You are responsible for obtaining all necessary travel documentation, including passports, visas, and compliance with entry and exit requirements for all countries visited. Flight departure and arrival times are subject to change by Travel Providers; you must verify all itinerary details prior to travel.

3.2 Travel Content Integrity

You may not alter, amend, misrepresent, or modify any information, content, or data relating to Travel-Products provided to you through UJV's platform. This includes, without limitation, trademarks, logos, trade names, service marks, pricing, descriptions, photographs, and booking terms ("Travel Content"). You may not use Travel Content in any manner not expressly authorized by UJV.

3.3 End Customer Obligations

Prior to the completion of any booking on behalf of an End Customer, you must:

• Ensure the End Customer has read and agreed to UJV's applicable end customer terms and conditions;
• Ensure the End Customer is aware of all limitations and restrictions that apply to their booking, including cancellation policies and any non-refundable components; and
• Not make any verbal or written assurances to an End Customer that contradict or expand upon UJV's disclosed terms. You are solely responsible for any unauthorized representations made to End Customers.

3.4 No Direct Supplier Contact

You must not directly contact any Travel Provider (including hotels, DMCs, ground operators, or other suppliers) in connection with a UJV booking. Any communications received directly from Travel Providers in relation to a booking must be referred to UJV immediately. All supplier communications are managed through UJV as the Merchant of Record.

3.5 Complaint and Communication Forwarding

You must forward to UJV within 24 hours of receipt: (a) all End Customer complaints or claims relating to a booking; (b) all communications received from Travel Providers relating to a booking; and (c) any communications received from any regulatory or tax authority relating to an End Customer or booking. UJV reserves the right to attempt to settle any End Customer complaint directly. Where UJV exercises this right, you must provide all reasonable assistance requested and refrain from taking independent action in respect of the complaint, unless required by applicable law.

3.6 Booking Charge Transparency

You may add a separate service or booking charge to the total amount presented to an End Customer ("Booking Charge"), provided that:

• The Booking Charge is communicated to the End Customer separately and is not aggregated into UJV's published rates;
• The Booking Charge is clearly attributed to you, not to UJV or any Travel Provider; and
• You are solely responsible for any taxes applicable to your Booking Charge.

3.7 Package Rate Requirements

Certain rates made available through UJV's platform are designated as package rates ("Package Rates") and are subject to additional requirements imposed by the relevant Travel Provider. By accessing, quoting, or booking any Package Rate, you acknowledge and agree that:

• Bundling Requirement: Package Rates may only be offered or presented to End Customers as part of a package that includes at least one additional qualifying travel component, such as air transportation, rail, ground transfers, or other travel services. Such additional component need not be booked through UJV but must form part of the same trip itinerary presented to the End Customer.
• Rate Opacity: The component price attributed to any Package Rate must not be disclosed, itemized, or otherwise communicated to the End Customer in any booking document, invoice, itinerary, email, or other client-facing communication. The End Customer must be presented only with a total trip or package price.
• Your Responsibility: UJV's transmission of a Package Rate does not authorize you to present that rate as a stand-alone accommodation rate. You are solely responsible for implementing these packaging requirements within your platform and in any materials you distribute to End Customers. Failure to comply with this section constitutes a material breach of these Terms and may result in suspension or termination of your access to Package Rates or to UJV's Services.

3.8 Group Bookings

Bookings of 6 or more rooms for the same property and stay dates ("Group Booking") require prior written approval from UJV and are subject to separate group terms. Group Bookings made without UJV's prior written consent may be cancelled at UJV's sole discretion, with applicable cancellation fees applied.

3.9 Prohibited Activities

You agree not to misuse UJV's Services. Prohibited activities include, without limitation:

• Violating any applicable law or regulation;
• Sending unsolicited bulk communications or spam in connection with UJV's Services;
• Using automated tools, robots, or scraping mechanisms to access or copy UJV content;
• Reverse engineering, disassembling, or creating derivative works from any part of UJV's platform;
• Using UJV's Services in competition with UJV or for benchmarking purposes without prior written consent;
• Holding room blocks by reserving multiple rooms without confirmed names and subsequently cancelling;
• Misrepresenting your identity or affiliation with UJV to any Travel Provider, End Customer, or third party; and
• Disparaging UJV, its Group Members, or any Travel Provider in connection with the use of UJV's Services.

4. Disclaimers, Liability, and Travel Risks

• As-Is Service: The Services and Content are provided "as-is" and "as-available" without warranties. UJV does not guarantee the accuracy, quality, suitability, or reliability of any third-party information or pricing. Obvious errors, including pricing or typographical errors, are not binding. UJV reserves the right to cancel a booking or correct pricing before confirmation.
• Assumption of Risk: Travel involves inherent risks, including risk of injury, illness, criminal acts, or incidents without access to medical services. It is your personal decision to travel, and you expressly assume all such risks. UJV has no special knowledge of dangers at specific destinations.
• Force Majeure: Neither party is liable for failure or delay caused by events beyond its reasonable control, including civil turmoil, acts of God, or health-related crises. If a booking cannot be fulfilled due to force majeure, UJV will reimburse the unused portion but is not responsible for costs of alternative arrangements.
• Limitation of Liability: To the maximum extent permitted by law, UJV shall not be liable for any indirect, special, or consequential loss, including loss of profits. UJV's total liability shall not exceed the lower of $100,000.00 or the sums paid by you to UJV in the twelve (12) months preceding the claim.

5. Economic Sanctions Compliance

You represent and warrant, on a continuing basis throughout the term of these Terms, that:

• You are not incorporated, headquartered, or ordinarily resident in any country or territory subject to comprehensive economic sanctions, including (as of the date of these Terms) Cuba, Iran, North Korea, Syria, and designated regions of Ukraine;
• You are not a Restricted Person, as defined under the sanctions lists of the United States (OFAC SDN List), the European Union, the United Kingdom (HM Treasury), or the United Nations; and
• You will not use UJV's Services to facilitate any transaction, booking, or activity involving a Restricted Person or sanctioned country.

UJV reserves the right to cancel any booking and immediately suspend or terminate your access to UJV's Services if UJV has reason to believe that processing a booking may cause UJV to be in breach of, or expose UJV to penalties under, applicable economic sanctions laws. You must notify UJV immediately if your status changes in any respect covered by this section.

6. API Partner and B2B Data Processing

UJV makes its inventory and booking services available to approved business partners ("Partners") through an application programming interface ("API"). When Partners access the API to facilitate bookings for their end customers, both UJV and the Partner act as independent data controllers, each separately responsible for their own processing of personal data in connection with those bookings.

• Service Data: UJV collects and retains usage and operational data generated through API activity, including query logs, booking metadata, and platform performance data ("Service Data"). UJV is the controller of this Service Data and may combine it with anonymized information from Authorized Users and End Customers to improve its services, provided such combined data does not personally identify any individual.
• End Customer Personal Data: Personal data relating to End Customers transmitted through the API — including names, contact details, and booking information — is processed by UJV solely to fulfill the relevant booking and comply with applicable law. UJV does not sell or share End Customer personal data with third parties except as necessary to deliver the Travel-Products booked. Partners are responsible for ensuring that End Customers have received appropriate notice of how their data will be processed and for obtaining any consents required under applicable law.
• Security and Incident Notification: UJV and its Partners are each required to maintain appropriate technical and organizational measures to protect personal data. In the event of a suspected data incident involving personal data processed in connection with the API, UJV requires notification within 24 hours of the incident becoming known.
• International Transfers: Where personal data is transferred across borders in connection with API bookings, UJV and its Partners implement appropriate transfer mechanisms, including Standard Contractual Clauses where required by applicable law.
• Governing Terms: The full data protection obligations applicable to API Partners are set out in the Data Protection and Processing Addendum (Schedule A) incorporated into UJV's API Terms of Service, available upon request at info@ultimatejetvacations.com.

7. Audit Rights

Where UJV reasonably suspects a material breach of these Terms, fraud, or a violation of applicable law, you agree to provide UJV with access to such records, systems, and information as UJV may reasonably require to verify compliance or investigate the suspected matter. You will cooperate fully and promptly with any such request, at your own expense.

8. Modifications to These Terms

UJV may modify these Terms from time to time. Where changes are material, UJV will provide at least 30 days' written notice by email or through the platform. If you do not object within that 30-day period, you will be deemed to have accepted the revised Terms, which will take effect on the date specified in the notice. If you object to any change, either party may terminate the agreement in accordance with Section 10. Continued use of UJV's Services after the effective date of any revision constitutes acceptance of the revised Terms.

9. Governing Law and Dispute Resolution

• Governing Law: These Terms shall be governed by the laws of the State of Florida.
• Informal Resolution: You must first contact info@ultimatejetvacations.com to attempt to resolve disputes informally within 30 days.
• Binding Arbitration: Any unresolved disputes shall be resolved by binding arbitration administered by the American Arbitration Association in Miami, Florida. By agreeing to arbitration, you waive the right to litigate in a court of law and to trial by jury. Claims must be brought individually, not as part of a class or collective action.
• Time Limit for Claims: Any claim relating to these Terms or a Travel-Product must be noticed to UJV within 30 days after the completion or end of the Travel-Product, and must be commenced within one (1) year after the cause of action accrues.

10. Term, Termination and Assignment

• Term: These Terms commence on the date you first access or use UJV's Services and continue until terminated by either party.
• Termination: UJV may terminate or suspend your access to the Services immediately upon written notice for any material breach of these Terms, including breach of the package rate, sanctions compliance, or prohibited activities provisions. You may terminate on 30 days' written notice to UJV.
• Effect of Termination: On termination, you must immediately cease using UJV's Services and any Travel Content. Sections 3.4, 4, 5, 6, 7, 9, and this Section 10 survive termination.
• Assignment: These Terms may not be assigned, novated, or transferred by you without UJV's prior written consent. UJV may assign these Terms without your consent to any Group Member or to any purchaser or successor in connection with a merger, acquisition, or sale of substantially all of UJV's assets.

11. Miscellaneous

• Entire Agreement: These Terms, together with any applicable API Terms of Service, Data Protection Addendum, and booking-specific terms, constitute the entire agreement between the parties regarding the subject matter hereof.
• Severability: If any provision of these Terms is held invalid or unenforceable, it shall be reformed to the minimum extent necessary to make it enforceable. All other provisions remain in full force.
• No Waiver: Failure by either party to enforce any provision of these Terms shall not constitute a waiver of the right to enforce it in the future.
• Notices: Notices under these Terms must be sent in writing by email to info@ultimatejetvacations.com, or to the address provided by you at the time of registration. Notices are effective on confirmed delivery.
